1. About these terms

These Terms & Conditions ("Terms") govern your access to and use of the VR-Inventa platform and related services (the "Service"). The Service is provided by Vision Resonance ltd (trading as "VR-Inventa", "we", "us", "our"). By accessing or using the Service you are entering into a binding agreement with Vision Resonance ltd.

2. Acceptance

By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

3. Account and accuracy

You must provide accurate information, keep your account details up to date, and maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

• Use the Service for any unlawful, fraudulent, or harmful activity, including spam.
• Infringe any intellectual property or other rights of any third party.
• Interfere with the security or integrity of the Service (including by introducing malware, probing, scanning, scraping, or attempting to bypass technical limits).
• Reverse engineer, resell, or redistribute the Service except as expressly permitted.

5. Intellectual property

The Service, including all software, documentation, and branding, is owned by Vision Resonance ltd or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your selected plan.

6. Your content

You retain ownership of content you submit to the Service. You grant us a limited license to host, store, and process that content solely as necessary to provide the Service.

7. Payments and subscriptions — Paddle as Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

By purchasing a paid plan, you also agree to Paddle's Checkout Buyer Terms, which govern payment, billing, taxes, subscription renewal, cancellation, and refunds. Subscriptions automatically renew at the end of each billing period unless cancelled before renewal. Fees are charged in the currency and at the frequency shown at checkout.

8. Service availability

We work hard to keep the Service available and reliable, but we do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, create a security or fraud risk, or repeatedly or seriously violate our policies. Upon termination, your right to use the Service ends and we may delete your data after a reasonable export window.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with these Terms is limited to the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, where such limitation is not permitted by law.

11. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Vision Resonance ltd is established, without regard to its conflict of law principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to mandatory consumer protections that may apply in your country of residence.

13. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Your continued use after the changes take effect constitutes acceptance of the updated Terms.
